1. Agreement to Terms
By accessing or using Pivotry The Neuroinclusive Coach (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
The Service is operated by LearningTimes, LLC, a limited liability company registered in the United States ("Company," "we," "us," or "our"). These Terms constitute a legally binding agreement between you and the Company.
2. Eligibility
The Service is intended solely for business professionals aged 18 or older. By using the Service, you represent and warrant that:

You are at least 18 years of age;

You are using the Service in a professional or business capacity;

You have the legal authority to enter into these Terms; and

Your use of the Service complies with all applicable laws and regulations.
We reserve the right to terminate accounts that we believe are being used in violation of these eligibility requirements.
3. Description of Service
Manager Chatbot provides an AI-powered coaching and support platform for managers and leaders. The Service is offered in three tiers:

Explore (Free): Up to 10 conversations per month, quick tips, and basic feedback preparation.

Grow ($25/month or $240/year): Unlimited chats, saved conversation history, personalized preparation, and core topic packs.

Lead ($45/month or $420/year): All Grow features plus advanced topic packs, reflection tracking, and early-access modules.
We reserve the right to modify, update, or discontinue features or pricing with reasonable advance notice.
4. Informational Nature of the Service — Important Disclaimer
The Service provides general informational content for professional development purposes only. Nothing provided through Manager Chatbot constitutes:

Professional legal, financial, medical, or psychological advice;

A substitute for consultation with qualified professionals in those fields; or
-
A guarantee of any specific outcome in your professional environment.
The AI-generated content is intended to support your thinking and growth as a manager. You are solely responsible for how you interpret and apply any information or suggestions provided. The Company makes no representations that the content is accurate, complete, or suitable for your specific circumstances.
5. User Accounts
5.1 Account Creation
To access paid features, you must create an account and provide accurate, current, and complete information. You agree to keep this information updated.
5.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at pivotry@learningtimes.com if you suspect unauthorized access.
5.3 One Account Per User
Accounts are for individual use only and may not be shared. You may not create multiple accounts to circumvent the Explore tier conversation limits.
6. Subscriptions, Billing & Refunds
6.1 Subscription Plans
Paid subscriptions (Grow and Lead) are billed on a monthly or annual basis, as selected at checkout. All fees are in US dollars.
6.2 Automatic Renewal
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method on file for each renewal.
6.3 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us at pivotry@learningtimes.com . Cancellation takes effect at the end of the current billing period.
6.4 Refund Policy
If you cancel within 30 days of your most recent charge, you are eligible for a pro-rata refund for the unused portion of your subscription period. Refund requests must be submitted to pivotry@learningtimes.comwithin the 30-day window. After 30 days, no refunds will be issued. Refunds are processed to the original payment method within 5–10 business days.
6.5 Price Changes
We reserve the right to change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
7. User-Generated Content
7.1 Your Content
When you interact with the Service, you may submit text, responses, or other content ("User Content"). You retain ownership of your User Content.
7.2 License to the Company
By submitting User Content, you grant LearningTimes, LLC a limited, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of providing and improving the Service. We will not sell your User Content to third parties.
7.3 Content Standards
You agree not to submit User Content that is unlawful, harassing, defamatory, or that infringes the intellectual property rights of others. We reserve the right to remove User Content that violates these standards.
8. Data Retention & Deletion Rights
8.1 Retention
We retain your account data and conversation history for as long as your account is active, or as required for legitimate business and legal purposes.
8.2 Deletion Requests
You may request deletion of your personal data at any time by contacting us at pivotry@learningtimes.com . We will fulfill deletion requests within 30 days, subject to any legal obligations requiring us to retain certain data.
8.3 Account Deletion
Deleting your account will permanently remove your saved conversation history and profile data. This action is irreversible.
8.4 California Residents — CCPA Rights
If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA), including the right to:

Know what personal information we collect and how it is used;

Delete personal information we hold about you (subject to certain exceptions);

Opt out of the sale of your personal information (we do not sell personal data); and
-
Non-discrimination for exercising your CCPA rights.

9. Intellectual Property
All content, software, design, trademarks, and other materials made available through the Service (excluding User Content) are the property of LearningTimes, LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.
10. Prohibited Uses
You agree not to:

Use the Service for any unlawful purpose;

Attempt to reverse-engineer, scrape, or copy any part of the Service;
-
Use automated tools to access the Service beyond what is permitted;

Impersonate any person or entity;
-
Use the Service to harass, abuse, or harm others; or
-
Circumvent any access controls or usage limits.
Violation of these prohibitions may result in immediate account termination.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MANAGER CHATBOT, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
13. Dispute Resolution & Arbitration
13.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at pivotry@learningtimes.com and attempt to resolve any dispute informally for at least 30 days.
13.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the United States.
13.3 Class Action Waiver
You agree to resolve disputes with the Company only on an individual basis. You waive any right to bring or participate in a class action, collective action, or representative proceeding.
13.4 Exceptions
Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm, without waiving the right to arbitrate.
13.5 Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions.
14. Modifications to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Termination
We may suspend or terminate your account at any time if you violate these Terms or for any other legitimate business reason, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 4, 7, 9, 11, 12, and 13 survive termination.
16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.

No Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.

Assignment: You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.
